This Terms of Use Agreement ("Agreement") constitutes a legally binding agreement made between
you, whether personally or on behalf of an entity ("user" or "you"), and ImpactPlayer LLC and its
affiliated companies, websites, applications, and tools (collectively referred to as "Company," "we,"
"us," or "our"), concerning your access to and use of the https://www.impactplayer.co/ website(s), as
well as any other media form, media channel, mobile website, or mobile application related to or
connected thereto (collectively, the "Sites"). The Sites provide the following service: using college
student athletes' names, images, and likenesses to connect them with sponsorship opportunities
(the "Company Services"). Supplemental terms and conditions or documents that may be posted on
the Sites from time to time are hereby expressly incorporated into this Agreement by reference.
ImpactPlayer LLC makes no representation that the Sites are appropriate or available in other
locations outside the jurisdictions where the Company operates. Access to the Sites is prohibited in
territories where the content is deemed illegal or where accessing the Sites would subject the
Company to any registration requirement within such jurisdiction or country. Users accessing the
sites from other locations do so on their own initiative and are solely responsible for compliance with
local laws.
Minors, in the jurisdiction in which they reside (generally under the age of 18), are not permitted to
register for the Sites or use the Company Services unless parental consent is provided.
BY ACCESSING OR USING THE SITES OR SERVICES, YOU ACCEPT AND AGREE TO BE
BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE OR
CONTINUE USING THE SITES.
Regarding Your Registration
By using ImpactPlayer LLC Services, you represent and warrant that:
1. All registration information you submit is truthful and accurate;
2. You will maintain the accuracy of such information;
3. You will keep your password confidential and be responsible for all use of your password and
account;
4. You are not a minor in the jurisdiction in which you reside, or if a minor, you have received
parental permission to use our Sites;
5. Your use of the Company Services does not violate any applicable law or regulation.
Failure to comply with the above conditions may result in the suspension or termination of your
account.
We reserve the right to change or reclaim usernames in our sole discretion, particularly if deemed
inappropriate or if a trademark owner requests it.
Regarding Content You Provide
We may invite you to post content, including but not limited to text, photos, videos, and audio
("Contributions"). By submitting Contributions, you grant ImpactPlayer LLC a non-exclusive,
royalty-free, worldwide, perpetual license to use, display, reproduce, distribute, and create derivative
works from your Contributions, in accordance with the terms outlined herein. You represent and
warrant that your Contributions do not infringe on the rights of third parties and comply with all
applicable laws.
If you access ImpactPlayer LLC Services through a mobile application, you are granted a limited,
non-transferable, non-exclusive license to install and use the application on devices you own and
control. The license does not permit decompiling, reverse engineering, or creating derivative works
from the application.
The Sites may contain links to third-party websites or content. We are not responsible for such
third-party content or sites. Your interactions with third-party websites, including transactions, are
solely between you and the third party.
All content on the Sites, including but not limited to logos, text, images, and designs, is owned or
licensed by ImpactPlayer LLC and is protected by copyright, trademark, and other intellectual
property laws. You may not use, copy, or reproduce any content from the Sites without prior written
consent.
We reserve the right to monitor the Sites for violations of this Agreement, take appropriate legal
action, and manage the Sites in a way that protects our interests and ensures proper functioning.
This Agreement will remain in effect while you use the Sites. We reserve the right to terminate your
access to the Sites or Services at any time, for any reason, without notice. Upon termination, you
are prohibited from registering a new account.
We reserve the right to modify this Agreement at any time. Changes will be posted on the Sites, and
your continued use of the Sites following such changes constitutes your acceptance of the modified
terms.
Your use of the Sites and Services is at your own risk. The Sites are provided "as is" without
warranties of any kind, either express or implied, including but not limited to the implied warranties of
merchantability, fitness for a particular purpose, or non-infringement.
In no event shall ImpactPlayer LLC, its directors, employees, or agents be liable for any damages
(direct, indirect, consequential, or otherwise) arising from your use of the Sites or Services.
You agree to indemnify and hold harmless ImpactPlayer LLC from any claims arising out of your use
of the Sites or violation of this Agreement.
This Agreement constitutes the entire agreement between you and ImpactPlayer LLC. Any failure by
the Company to enforce any right or provision of this Agreement does not constitute a waiver of
such right or provision. If any provision is found to be invalid or unenforceable, the remaining
provisions will remain in full force and effect.
